| Heritage Basketry Guild January 4, 2010 Meeting Minutes:
Board Members present: Elaine Puckett, Cindy Holland, Barb Schimming, Darlene Collins, Julie Kleinrath, Ginger Lindamood Reports: Secretary: Elaine Puckett is new secretary for 2010-2011. It was noted that December’s minutes were sent via email by Carol -approved as submitted. Treasurer-Cindy Holland Balance in account is $5401.98. Income from membership for the past 2 months was $350. Membership Sally Meyer is membership chair for 2010-2011. As of January 4, there are 41 members, including those who paid Jan. 4. Welcome to brand new members Cookie Jenkins, Dottie Dornbusch and Renee McBride. Midsummer Weave: Julie Kleinrath, chair of this committee initiated a discussion about meal budget/process for midsummer weave. It is noted that the current plans are to provide 5 meals for an estimated 75 people. The figure of $1000 was mentioned as a suggested budget cap for food. In order to achieve the high quality of meals that we have had in the past, it might be necessary to increase the food budget, which could involve raising the registration fee. Other options discussed were having each participant bring a dish or having a simple brown-bag lunch catered. It was agreed to keep this as an open-ended topic and discuss at future meetings. Member discount for MSW registration. It was moved and seconded that Heritage Guild members will get a discount on MSW registration. Exact amount of discount has not been determined yet-will be determined after registration fee is determined. Members were asked whether or not to keep the snack table at MSW this year-where people bring snacks to share. Members voted to continue having a snack table. Teacher Liaison: Ginger indicated that Linda Seever is teaching a small herb basket in Feb, and Carol White is teaching in March. In August, Cheri is teaching a Buckeye Basket. Teachers are needed for other months. Elaine suggested that perhaps a class could be offered which would teach how to make a Gretchen border. Vice President: Barb reported that we have people signed up for refreshments every month that they are needed; however some months only have 2 volunteers and it is easier if 3 people volunteer each month. So far, we could use another volunteer for March, April, May, June, July, August, September and November. President: Darlene reported that guild bylaws need to be amended so that we are in compliance with IRS code 501 C3. This code is required by IRS, since we have registered as a non-profit organization. At issue is how guild assets will be distributed if the guild is dissolved. Apparently, all assets need to be distributed to charity. Wording of the bylaws will reflect the fact that “Upon dissolution of the organization, the remaining assets must be discharged for charitable, religious, educational or scientific purposes, dependent upon a vote by the remaining membership” Note: This is an approximation of the exact verbage that will be used. It was suggested that remaining assets be split between Children’s Medical Center and Breast Cancer-Susan G. Komen. The actual wording of the bylaws will not list a specific charity, since it is not known if the previously-mentioned charities will exist at such time as the guild may be dissolved. Therefore, it is noted that remaining guild members will vote on the actual charity at that time. Motion was made and carried regarding the wording. 16 members were present for the vote, which is deemed to be a quorum. Refreshments for February: Lorry Foucht; Barb McKoy; Julie Kleinrath Refreshment for March: Cindy Holland and Elaine Puckett. 3rd volunteer would be welcome! Elaine Puckett, Secretary |
